Appendix D — AI Transformation Mastermind

To the Terms and Conditions of Cliqsales. This Appendix D sets out the specific terms for the AI Transformation Mastermind — an annual mentoring programme consisting of weekly live calls, hot seats, Q&A and the private community. On matters not regulated by this Appendix, the Terms apply.
Important — what is NOT included in Appendix D: The Mastermind does NOT include access to the Cliqsales AI Team software. If the Client wants the AI Team, see Appendix F (AI Team — standalone subscription) or Appendix B (AI Team Done-For-You). The Mastermind also does not include the AI Platform (Appendix C).
D1. Scope of supply
D1.1 What the Client receives
A 12-month subscription to the AI Transformation Mastermind comprising:
- weekly live calls with experts (90 minutes, Zoom or equivalent) on AI, marketing, sales and operations strategies;
- hot seats — the ability to present the Client’s own challenge to the team and the community and receive structured feedback;
- Q&A — real-time questions and answers during the calls;
- recordings of all calls, available throughout the membership;
- access to the private Mastermind community (typically Skool, Circle or equivalent);
- the latest strategies and know-how in AI, marketing and sales — periodically refreshed by the Cliqsales team.
D1.2 Format
The Mastermind runs online. Calls are streamed live (Zoom or equivalent) — the Client participates from any location with internet access. Recordings are typically available within 24 hours of the live session.
D1.3 Relationship to other Products
Where the Mastermind is part of the Accelerator (Appendix A) or the AI Team Done-For-You (Appendix B), it is included in that programme’s price for 12 months. After 12 months the rules of this Appendix apply (renewal under D3).
D2. Price and payment
D2.1 Standalone pricing
The current price list is always available on the Cliqsales Websites and in the individual offer made to the Client. The binding price is the price stated in the Order confirmation. Prices for businesses are exclusive of VAT.
D2.2 Payment
The price is payable in one sum in advance on Contract conclusion. Instalment plans may be agreed on an individual basis.
D2.3 Tax invoices
A VAT invoice shall be issued within 15 days of receipt of payment.
D3. Subscription term and renewal (NO auto-renewal)
D3.1 Term
The Mastermind subscription runs for 12 months from the date of activation (= payment of the price or dispatch of the access email, whichever is earlier).
D3.2 No automatic renewal
The subscription does NOT auto-renew. The Client is assured that no amount will be debited without the Client’s active consent after the 12-month period ends.
D3.3 Renewal offer 30 days in advance
At least 30 days before the end of the subscription Cliqsales shall send the Client:
- an email renewal offer with current terms and price;
- where appropriate, a personalised offer based on the Client’s participation history;
- a clear link to confirm renewal (and the alternative — to allow it to end without action).
D3.4 Renewal effect
The Client confirms renewal by clicking the confirmation link in the renewal email or by paying the agreed price. If the Client does not accept the offer, the subscription automatically ends on the expiry date.
D3.5 Price change at renewal
Cliqsales reserves the right at renewal to adjust the price in line with the current price list. The new price shall be clearly stated in the renewal offer. The Client may decline and allow the subscription to end.
D4. Community rules and DSA compliance
D4.1 Participation in live calls
The Client is entitled to attend all scheduled live calls during the 12-month period. Where unable to attend live, a recording is available typically within 24 hours.
D4.2 Hot seat and community
The Client may present its own topic in a hot seat once per 12 months (or more often depending on community rules). Cliqsales reserves the right to:
- postpone the hot seat to a later date due to capacity;
- limit content in the hot seat (third-party Confidential Information, illegal content);
- moderate posts in the community.
D4.3 Community rules (DSA notice-and-action)
The private Mastermind community is subject to rules under Regulation (EU) 2022/2065 (Digital Services Act). The Client:
- shall not post illegal content in the community (copyright infringement, defamation, hate speech, fraudulent offers, malware, spam);
- has the right to report illegal content to
info@cliqsales.com— Cliqsales shall act without undue delay in accordance with Regulation (EU) 2022/2065 (DSA). The competent Digital Services Coordinator in Ireland is Coimisiún na Meán (cnam.ie); - shall be informed of moderation actions (post removal, suspension, exclusion) with a statement of reasons and the possibility of appeal.
D4.4 Exclusion from Mastermind
Cliqsales reserves the right to exclude the Client from the Mastermind without refund in the event of:
- material breach of community rules;
- repeated disruption of calls;
- proven distribution of call recordings outside the Mastermind;
- breach of confidentiality vis-à-vis other members.
Exclusion must be preceded by a written warning with a 7-day remedy period (save in serious cases).
D4.5 Recordings and intellectual property
Recordings of live calls and the materials presented are copyright works of Cliqsales (or of the experts who licensed them to Cliqsales). The Client receives a non-exclusive, non-transferable licence to view them for the Client’s own personal or business educational purposes for the duration of membership.
The Client must not:
- publish recordings or materials publicly (YouTube, Vimeo, social media, web);
- share materials with persons outside the Mastermind;
- create their own educational products or competing content from them.
D5. 14-day money-back guarantee
D5.1 Principle
The Mastermind subscription is subject to a 14-day contractual money-back guarantee (a contractual benefit beyond statutory rights):
- The Client may terminate the Contract in writing (by email to
info@cliqsales.com) within 14 days of Contract conclusion. - Cliqsales shall refund the price paid within 14 days of receipt of the termination, to the account from which payment was made.
- The guarantee is provided without giving any reason.
D5.2 Anti-abuse safeguard
Cliqsales reserves the right to refuse the guarantee where it is manifestly abused — typically where a Client repeatedly invokes the guarantee across multiple orders (“serial refunder”) or demonstrably acted with the intent of obtaining recordings and materials and then withdrawing.
D5.3 Effect of exercising the guarantee
On exercise of the guarantee:
- access to the live calls, recordings and the community ends;
- the Client may export their own posts and contributions within 30 days.
D5.4 After expiry of the guarantee
After the 15th day from Contract conclusion the guarantee lapses. The Contract is binding for the entire 12-month period.
D6. Termination
D6.1 Fixed term
The Mastermind subscription is concluded for a fixed 12-month term. After 14 days from conclusion (D5.4) it may not, as a rule, be terminated early with refund.
D6.2 Early termination by the Client after the guarantee expires
The Client may at any time:
- cease active participation — the subscription runs through the end of the 12-month term;
- not renew for the following period — at the end of the 12 months the Contract terminates without further action.
D6.3 Early termination by Cliqsales
Cliqsales may terminate the Contract with immediate effect in the event of material breach by the Client (Terms clause 6.1 and D4.4 of this Appendix). In such case the Client is not entitled to a refund.
D6.4 Force majeure
Where force majeure (Terms clause 9.4) lasts more than 30 days, both Parties have the right to terminate the Contract with pro-rata refund of the price for any unconsumed period.
D7. Assignment and transfer
D7.1 The Client may not assign the Mastermind subscription to another natural or legal person without Cliqsales’ prior written consent (Terms clause 14.4).
D7.2 Access to the Mastermind, the calls and the community is tied to a specific Client (typically a single business or a single individual). Sharing access credentials with third parties is a breach of the Contract.
This Appendix D forms an integral part of the Terms and Conditions of Cliqsales.
In the event of conflict between the Terms and this Appendix, this Appendix prevails on matters concerning the Mastermind (Terms clause 14.3).
