Appendix F — Cliqsales AI Team

Contents
To the Terms and Conditions of Cliqsales. This Appendix F sets out the specific terms for the Cliqsales AI Team — a standalone software subscription to Cliqsales’ proprietary AI Team SaaS. On matters not regulated by this Appendix, the Terms apply. Where the AI Team is provided as part of the AI Team Done-For-You service (Appendix B), Appendix B applies to the implementation service while this Appendix F continues to apply to the underlying software subscription.
F1. Subject matter
F1.1 What the Client receives
The Cliqsales AI Team is a proprietary Software-as-a-Service (SaaS) product developed and operated by Cliqsales. The Client receives:
- access to the Command Center — central administration UI for the AI Team;
- a team of AI agents (AI CEO, AI Marketer, AI Sales, AI Operations Manager, AI Developer) with their core skills;
- the
cs-skillsstandard skill library — the catalogue of pre-built skills curated by Cliqsales; - the AI Data Center (LLM wiki) — the company’s central memory used by the AI agents;
- regular software updates (new features, security patches, bug fixes);
- standard technical support at
support@cliqsales.com(see F6.2 for parameters).
F1.2 Infrastructure & hosting
The AI Team is delivered as SaaS hosted on Cliqsales’ own server infrastructure at Hetzner Online GmbH (data centres in Falkenstein / Nuremberg / Helsinki, EU). Each Client is provisioned with a dedicated SaaS instance on Cliqsales’ servers. Customer data is stored within the EU/EEA — no international transfer occurs by virtue of the hosting itself. Transfers outside the EU/EEA occur only when specific AI Team functions invoke AI model providers located outside the EU/EEA (OpenAI, Anthropic, Google) under the safeguards described in the DPA.
As the developer and operator of the software, Cliqsales acts as the Client’s processor within the meaning of Article 28 GDPR. The relationship is governed by the separate Data Processing Agreement (DPA) which is automatically incorporated into the Contract under Terms clause 11.2.
F1.3 What is NOT included in this Appendix F
The following are not part of the standalone AI Team subscription and are governed by separate Appendices or arrangements:
- Done-for-you implementation, configuration, brand DNA preparation, custom skill development — provided as a service under Appendix B (AI Team Done-For-You);
- The Cliqsales AI Platform (CRM, marketing automation, funnels) — separate subscription under Appendix C;
- Mastermind community (weekly mentoring calls, Zoom workshops) — separate subscription under Appendix D;
- Third-party AI model subscriptions (OpenAI, Anthropic, Google, etc.) — the Client procures and pays for these directly (see F8);
- Custom skills built bespoke for the Client — only available through Appendix B (AI Team Done-For-You). Under this Appendix F the Client uses the standard
cs-skillslibrary (see F7).
F2. Price and subscription
F2.1 Pricing
The current price list is always available on the Cliqsales Websites and in the individual offer made to the Client. The binding price is the price stated in the Order confirmation. Prices for businesses are exclusive of VAT.
F2.2 Billing cycle (Client’s election)
The Client may choose one of two billing cycles in the Order:
- Monthly subscription — billed each calendar month in advance, paid by card (Stripe).
- Annual subscription — billed once per year in advance, paid by card or bank transfer; typically offered at a discount versus the monthly cycle.
The Client may switch from monthly to annual at any anniversary; switching from annual to monthly takes effect at the end of the current paid annual period.
F2.3 Payment methods
- Online card payment via Stripe (default);
- Bank transfer for annual subscriptions on request;
- Late payment — see Terms clause 4.5.
F3. Subscription term and renewal
F3.1 Monthly subscription
A monthly subscription runs month-to-month. It automatically renews at the start of each new month unless the Client cancels by the end of the current month. The Client may cancel at any time in the Command Center self-service or by email to support@cliqsales.com with effect at the end of the current paid month. No pro-rata refund applies for cancellation mid-month.
F3.2 Annual subscription
An annual subscription runs for 12 months from activation. At least 30 days before the end of the current 12-month period, Cliqsales shall send the Client a renewal offer with the current terms and price. The annual subscription automatically renews for another 12 months unless cancelled at least 30 days before the end of the current period.
Cancellation of an annual subscription before the end of the 12-month period does not entitle the Client to a refund of the paid annual fee, save where Cliqsales is in material breach (Terms clause 10.3) or in cases of force majeure exceeding 30 days (Terms clause 9.4).
F3.3 Cancellation procedure
In all cases the Client may cancel:
- in the Command Center self-service (Account → Subscription → Cancel);
- by email to
support@cliqsales.com; - with effect on the date specified above (end of current month for monthly; end of current 12-month period for annual, provided 30-day notice).
The Client retains access to the service until the end of the paid period.
F4. No money-back guarantee
The Cliqsales AI Team standalone subscription is offered as a recurring SaaS subscription and is NOT subject to any contractual money-back guarantee. The Client may cancel at any time per F3 and stops being billed at the end of the current paid period; no refund of paid fees applies.
AI Team — standalone subscription is intended exclusively for businesses (B2B); consumer regime does not apply (see Terms clauses 2.3 and 10.5). Consumer participation under the Consumer Rights Act 2022 or the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013 (S.I. 484/2013) is not permitted.
F5. Termination and data export
F5.1 End of access
Upon termination (whether by the Client or Cliqsales), the Client loses access to:
- the Command Center and the Client’s AI agents;
- the
cs-skillsstandard library and Cliqsales AI Team functionality; - the AI Data Center (LLM wiki) running on Cliqsales infrastructure.
F5.2 Data export
The Client has 30 days after termination to export the Client’s data:
- knowledge base content (LLM wiki — Brand DNA, Product DNA, documents);
- agent conversations and outputs stored in the Command Center;
- agent configurations and Client-specific settings.
The Client performs the export self-service in the Command Center, or may request an assisted export at support@cliqsales.com. Exports are provided in a structured format (typically JSON, Markdown, CSV).
F5.3 Data deletion
After 30 days from termination, the Client’s data is deleted from the live database. Data may persist in automatic backups for up to 90 days as part of the standard backup rotation (see DPA clause 9.2).
F5.4 Permanent retention exceptions
Cliqsales may retain:
- billing and accounting records for the period required by Irish tax law (typically 6 years);
- anonymised aggregated data on AI Team usage without identifying the Client.
F5.5 Custom skills (if any) after termination
Where the Client previously commissioned a Custom Skill under Appendix B (AI Team Done-For-You), the Client’s permanent ownership of that Custom Skill (Appendix B clause B5.1) is not affected by termination of this standalone subscription. However, without an active AI Team subscription the Client cannot run the Custom Skill on Cliqsales infrastructure; the Client may export the Custom Skill source code per Appendix B clause B5.1.3.
F6. Availability and support
F6.1 Application availability
The Cliqsales AI Team software runs on Hetzner Online GmbH infrastructure, which contractually provides a 99.9% monthly uptime SLA at the VPS level. Cliqsales actively monitors the application layer and strives to maintain this level of availability during normal operations. Planned maintenance is announced with at least 48 hours’ notice (typically by email and in the Command Center).
F6.2 Technical support
Support is provided through support@cliqsales.com and the support form in the Command Center. Standard response time: within 1 business day, Monday–Friday 09:00–17:00 CET/CEST, excluding public holidays in the Republic of Ireland.
F6.3 Enterprise tier — in preparation
For Customers requiring guaranteed availability with service credits, defined RPO/RTO, priority support and a dedicated contact, Cliqsales is preparing an Enterprise tier. Until launch, custom SLA parameters can be agreed by an individual Master Service Agreement — contact enterprise@cliqsales.com.
F6.4 Availability disclaimers
The 99.9% reference level under F6.1 is not a contractual financial penalty at the Standard tier — a formal application SLA with service credits is reserved for the Enterprise tier (F6.3). The availability commitment does not apply to downtime caused by:
- planned maintenance announced under F6.1;
- force majeure (Terms clause 9.4);
- third-party outages beyond Cliqsales’ control (AI model providers, DNS, Customer’s internet, ISP);
- the Customer’s breach of the Contract (payment default, service abuse under F10, breach of Acceptable Use Policy under Terms clause 6.1.3).
F7. Standard skills only — no custom development
Under this Appendix F the Client uses the cs-skills standard skill library which Cliqsales develops and maintains for all AI Team subscribers. Cliqsales adds new standard skills periodically and the Client benefits from them automatically as part of the subscription.
Custom skills built bespoke for the Client are NOT part of this Appendix F. If the Client requires a custom skill (bespoke logic, integration, automation specific to the Client’s business), this is delivered as a service under Appendix B (AI Team Done-For-You) or by individual commercial agreement.
F8. Third-party AI models — Client’s own subscription
F8.1 Principle
The AI agents in the Cliqsales AI Team rely on third-party large language models (Anthropic, OpenAI, Google, Mistral, and others). These models are not included in this subscription. The Client arranges its own access:
- directly with the model provider (Anthropic, OpenAI, Google, etc.) using its own commercial subscription or API access;
- via an aggregator (e.g. OpenRouter) using its own account.
Cliqsales assists the Client in the initial configuration of these accounts but the Client itself enters payment details with the model providers.
F8.2 Terms of AI model providers
The Client acknowledges that use of third-party AI models is governed by the relevant provider’s terms — in particular:
- Anthropic Commercial Terms — Customer retains rights in inputs and owns outputs; data is not used to train models by default (zero training under commercial tier).
- OpenAI Business Terms — Customer retains rights in inputs and owns outputs; API data is not used to train models by default.
- Google AI / Gemini Terms — see current Google terms applicable to the chosen plan.
Cliqsales summarises and references these terms in the documentation, but the Client is responsible for its own compliance with them.
F8.3 “No training” assurance
Cliqsales contractually arranges that the Client’s data processed within the AI Team is not used to train language models of any of the AI providers (Anthropic, OpenAI, Google). This assurance derives from the enterprise / commercial tier agreements with these providers.
F8.4 Cost of operation
The variable cost of operation = API tokens / model subscription at the providers. Typical range for an average business: low tens to low hundreds of euro per month. Cliqsales does not invoice this amount — the Client pays it directly to the providers.
F9. AI transparency and Client responsibility
F9.1 AI Act Article 50 — Client’s obligations as deployer
From 2 August 2026 the obligations under Article 50 of Regulation (EU) 2024/1689 (the AI Act) apply. As a deployer of AI systems, the Client undertakes:
F9.1.1 To inform its end customers that they are interacting with an AI system (chatbot, voicebot, AI agent) — typically by introductory message or graphic identification.
F9.1.2 To label AI-generated content (ads, articles, lead magnets, deepfake material) as artificially generated — typically via metadata or visible disclaimer.
F9.1.3 To inform of emotion recognition or biometric categorisation where used in AI agents.
Cliqsales provides default UI templates with these disclaimers in the AI Team; the Client is responsible for retaining or adjusting them in compliance with the then-current AI Act. (The Irish national competent authority for the AI Act is to be designated by the Irish Government; once designated, Cliqsales shall reflect this in its documentation.)
F9.2 High-risk AI (Annex III of the AI Act)
The Client acknowledges that deploying AI agents for decisions with legal effect or material impact on end customers (credit decisions, automated recruiting, educational scoring, biometric identification) may fall under high-risk classification of the AI Act with extended obligations. The Client assumes full responsibility for such deployments and their compliance with the AI Act and GDPR Article 22 (automated decision-making).
F9.3 Human review
The Client undertakes that AI outputs with material impact (external publication, legal decisions, financial decisions, health advice) undergo human review before use. Cliqsales does not warrant the accuracy, completeness or error-free nature of specific AI outputs (see Terms clause 9.2).
F10. Termination by Cliqsales
In addition to the general termination provisions in Terms clause 10, Cliqsales may terminate this Appendix F subscription with immediate effect for:
- Material breach by the Client of the Terms or this Appendix F (Terms clause 10.3) — including but not limited to breach of the Acceptable Use Policy (clause 6.1.3);
- Payment default exceeding 30 days from the invoice due date (Terms clause 4.5);
- Service abuse — automated scraping, reverse engineering, attempts to bypass technical limits or security controls, repeated load on the infrastructure inconsistent with normal use, use to develop or facilitate a directly competing service to the Cliqsales AI Team;
- Insolvency of the Client (entry into liquidation, examinership, bankruptcy or analogous proceedings).
Termination by Cliqsales for the above grounds does not entitle the Client to a refund of paid fees.
F11. Assignment and personal binding
F11.1 The Client may not assign this Appendix F subscription, in whole or in part, to a third party without Cliqsales’ prior written consent (Terms clause 14.4). This includes the prohibition on transferring access credentials, the Command Center account, or the dedicated SaaS instance to a third party.
F11.2 Access to the Cliqsales AI Team is tied to the specific Client (typically a single business). The licensed number of users per the Order applies — sharing access credentials with persons outside the Client’s business or beyond the licensed user count is a material breach of the Contract.
F11.3 Cliqsales may assign the Contract under Terms clause 14.4, always ensuring continuity of protection for the Client.
This Appendix F forms an integral part of the Terms and Conditions of Cliqsales.
In the event of conflict between the Terms and this Appendix, this Appendix prevails on matters concerning the Cliqsales AI Team standalone software subscription (Terms clause 14.3). The DPA prevails over this Appendix on matters of personal data protection (Terms clause 11.2).
